A practical guide for founders, investors and company administrators

Comprehensive Guide & FAQs to URSB e-Registry Services and Their Costs in Uganda

Understand the service you need, prepare the right information and calculate the official charges before submitting your application through Uganda’s e-Registry.

How much do URSB e-Registry services cost in Uganda?Business-name reservation costs UGX 35,000 and business-name registration costs UGX 55,000. Company-name reservation costs UGX 35,000. Incorporation costs UGX 105,000 where nominal share capital does not exceed UGX 5 million, or 1.5% of total nominal share capital above that threshold. A company without nominal share capital costs UGX 105,000 to incorporate. Stamp duty and separately required filings are additional.

The URSB e-Registry is the official starting point for business and company registration, connected filings and legal-document services. This guide brings together registration procedures, verified fee tables, practical cost examples and answers to the questions applicants ask before and after incorporation.

Use the service-specific tables below to distinguish a name reservation, a completed registration, a record search and a certified copy. Each serves a different purpose and may carry its own charge.

UGX 90,000

Business-name reservation and registration combined, before any additional services.

UGX 140,000

Company-name reservation and incorporation where nominal capital is up to UGX 5 million, before stamp duty and other filings.

Keep the record current

Annual returns, business continuity and changes to registered particulars are separate compliance tasks.

Before you start: choose the right registration route

Start by deciding what you are registering. A trading name, a company incorporated in Uganda and the Ugandan registration of an existing overseas company are different legal arrangements. The choice affects the application, the fee category, liability and continuing obligations.

Choose the service that matches your situation
Your situationAppropriate routeWhat to understand
An individual or firm trading under a business nameBusiness-name registrationRecords the trading name and proprietor or firm. It does not incorporate a separate limited company.
A commercial enterprise to be incorporated in UgandaCompany limited by sharesPrepare shareholding, nominal capital, officers, beneficial owners and constitutional information.
One founder seeking a company structureSingle-member companyUse the designated company route and its specific governance requirements.
An organisation using a guarantee structureCompany limited by guaranteeMembers undertake a guarantee. A company without share capital follows the corresponding fee category.
An overseas company establishing a place of business in UgandaForeign-company registrationRegisters the existing overseas entity in Uganda. Certain statutory charges are denominated in USD.
Two or more persons establishing a partnershipBusiness-name and applicable partnership filingsAn ordinary partnership and a limited liability partnership have different filing requirements.
An existing entity changing its official recordContinuing filing for the existing entitySelect the change, return, resolution or other service against the correct registered entity.

Foreign ownership and foreign-company registration are different. A company incorporated in Uganda is not placed on the foreign-company fee schedule merely because its shareholders are foreign nationals. A foreign company is already incorporated outside Uganda and registers its Uganda presence under the relevant provisions.

For NGO founders, URSB incorporation is one stage. NGO registration and permission to operate follow the applicable NGO Bureau or local-government route. A company limited by guarantee does not automatically acquire NGO operating authority or tax exemption. See the indigenous NGO registration requirements.

How to use URSB e-Registry in ten practical steps

Use eregistry.ursb.go.ug for the transaction. The sequence below provides a practical working method; the selected service determines the actual fields, documents and payment stages presented to you.

A complete application has four connected parts
  1. 1Choose

    Select the entity and service.

  2. 2Prepare

    Reconcile identity and ownership details.

  3. 3Submit

    Review, pay and complete submission.

  4. 4Maintain

    Keep approvals and continuing filings.

Choose the transaction and prepare one information sheet

Identify whether you need a new registration, a change to an existing record, an annual filing, a search or a certified copy.

For a new entity, agree the structure, proposed names, activities, ownership and registered address before opening the application. For an existing entity, record its exact registered name and registration number. A trading name used on an invoice may differ from the legal name in the register.

Create one reference sheet containing the details everyone will use. For a company with shares, record each subscriber, the share class, number of shares and nominal value. Identify the people who ultimately own or control the entity, including through another company.

Practical output: A consistent set of facts and the correct service category.

Create or access your e-Registry account

Open the official portal and choose account registration or login. The public registration page requests an email address and phone number.

Use the official e-Registry account-registration page and complete the verification and security steps shown. Use contact details you can access and retain. A consultant or employee submitting for a business should have the necessary authority.

An applicant’s personal account and the company’s official contact details serve different purposes. Keep company-controlled contact information current so that a change of staff or service provider does not interrupt access to statutory notices. Use the portal’s current login and recovery instructions.

Practical output: Working account access and a clear record of who may act for the entity.

Search and reserve the proposed name

Search the register, apply for the appropriate name reservation and wait for approval before using the name in the registration application.

Name reservation costs UGX 35,000 for a company or business name. The reservation charge does not include the subsequent incorporation or business-name registration fee. A search result alone is not approval of a name.

Prepare alternative names and check spelling, similarity and restricted or regulated wording. After approval, use the exact reserved name and complete registration within the validity period shown in the approval. A business or company name does not replace trademark protection. The rates appear in the business-name rules and company-fee regulations.

Practical output: An approved name, its reservation reference and its expiry date.

Enter owners, share capital and constitutional information

Complete the ownership and constitutional fields appropriate to the entity you selected.

For a company limited by shares, reconcile the shareholding and share-class entries. The number of shares multiplied by their nominal value must agree with the capital entered, and subscriber allocations must reconcile to the relevant issued shares. Do not confuse nominal capital with annual turnover, a service provider’s fee or money paid to URSB.

Describe lawful business activities accurately. Review the Memorandum and Articles information and the choice of standard or customised articles. A guarantee company requires the appropriate membership and guarantee information instead. Bespoke voting rights, investor protections and transfer restrictions require properly prepared constitutional documents.

Practical output: Ownership and constitutional details that agree with the intended structure.

Provide the address, officers and beneficial owners

Enter accurate registered-office, officer and beneficial-owner information rather than treating these as interchangeable fields.

Prepare the Ugandan physical and postal details requested, with a reliable arrangement for receiving correspondence. Use identification details that match the relevant national ID or passport. Check the eligibility and particulars of directors, the secretary and any authorised representative requested by the chosen service.

A beneficial owner is the natural person who ultimately owns or controls the company or partnership, including through indirect ownership or other means of control. A corporate shareholder is therefore not the end of the enquiry. URSB requires companies and limited liability partnerships to keep beneficial-owner information and notify the register. See URSB’s beneficial-ownership notice.

Practical output: A complete address and a reconciled record of officers and ultimate control.

Confirm official contacts and review generated documents

Read the full preview and every generated document before signing or paying.

Check the name, identification details, addresses, ownership, capital, officer appointments and official email and telephone number. Compare the application against the reference sheet rather than relying on memory. Correct mismatches in the underlying application before regenerating the documents.

Current incorporation transactions may collect information in a consolidated form. Use the documents generated for your live application. Do not automatically assemble the separate legacy forms listed in older guides. For a more detailed company walkthrough, see How to Register a Company in Uganda in 10 Easy Steps.

Practical output: A checked application and the correct documents for that transaction.

Sign and upload the required supporting documents

Complete signatures, authorisations and supporting evidence exactly as required by the application.

Upload complete, legible documents in the file type and size accepted by the current upload field. Ensure that every page, signature, certification and attachment is present. A blanket instruction to upload only TIFF or JPEG files below 1 MB is not a reliable rule for every e-Registry service.

If an upload fails, check the displayed file limits, remove password protection where appropriate, use a clear filename and confirm that the correct file opens normally. Compress only enough to meet the limit while keeping text and signatures readable. Keep the signed originals and a copy of the exact submitted version.

Practical output: Readable supporting documents matched to the correct application fields.

Review the assessment and pay using the correct reference

Check each assessed charge and pay through the authorised channel using the Payment Registration Number or reference provided.

A PRN identifies a payment assessment. Confirm the payer or entity, service, currency, amount and reference before paying. Keep URSB filing fees, URA stamp duty and professional charges as identifiable budget lines. Use the payment channels actually offered for that assessment.

Where a transaction includes a stamp-duty instrument, use the appropriate URA declaration or integrated assessment as directed. Do not recreate an old manual assessment simply because it appears in an earlier article. If payment has been made but does not reflect, retain the receipt and seek reconciliation before paying again.

Practical output: A correctly allocated payment and a saved receipt for each assessment.

Submit, monitor and respond to examination queries

Complete final submission and track the application until URSB makes its decision.

Saving a draft, uploading files or paying an assessment does not by itself establish that an application has been submitted or approved. Check the transaction status and retain the application or tracking reference. Monitor the portal and the email or telephone notifications associated with the application.

If URSB raises a query, address the specific issue and resubmit through the transaction’s correction process. Do not open a second application merely to bypass the first query. Processing time depends on the service, a complete file, payment confirmation, examination and any required publication or additional approval.

Practical output: A submitted application, clear status and a record of any corrections.

Download the approval and organise continuing compliance

After approval, download the certificate or registered document made available and check its particulars immediately.

Retain the approval, filed documents, payment receipts and application references in an entity-controlled record. Complete tax registration, banking, trading licences and sector-specific requirements relevant to the business. A Certificate of Incorporation does not by itself authorise every regulated activity.

Set reminders for company annual returns, business-name continuity statements and changes in officers, addresses or beneficial owners. Record the responsible person and the next filing date. Changes to the legal record require the appropriate statutory filing, even when a separate portal data-update service is free.

Practical output: An organised registration record and a practical compliance calendar.

Official service fees

How much do URSB registration and filing services cost?

The following charges identify the service being purchased. Unless a row specifies USD, amounts are in Uganda shillings. Each application may require more than one charge. The Companies (Fees) Regulations, 2024 and the corresponding business-name, partnership and document rules provide the basis for these tables.

Business names and sole proprietorships

Business-name fees
ServiceOfficial fee
Name reservationUGX 35,000
Registration of the business nameUGX 55,000
Change of registered particulars, including address or business nameUGX 35,000

Formal search of the business-names registerUGX 35,000
Other document filing, including the business-continuity statementUGX 55,000
Other application to the Registrar of Business NamesUGX 55,000

Reservation plus registration: UGX 90,000. These are two separate services. The 2024 business-name rules also require a statement of business continuity at the end of every calendar year. An online label that groups reservation and registration together should not be read as a UGX 35,000 price for both.

The percentage threshold is above UGX 5 million. It is not “above UGX 6 million”, and the 1.5% incorporation fee is calculated on the whole nominal capital once that threshold is exceeded. For a subsequent capital increase, the 1.5% registration charge applies to the increase. Filing fees for forms are charges for registration of the relevant filing, not a general fee for downloading blank forms.

Foreign companies registering their Uganda presence

Foreign-company statutory fees
ServiceOfficial fee
Registration of the certified charter, statutes, Memorandum and Articles or equivalent constitutional instrumentUSD 350
Other required document relating to the foreign companyUSD 70
Foreign-company annual returnUSD 70
Certification of a document on the foreign-company registerUSD 30 per document

The USD 350 constitutional-document fee is one component of foreign-company registration. Other required documents, certification, translation and related costs can add to the budget. Use the official assessment for any conversion into Uganda shillings rather than applying a fixed exchange rate from a consulting quotation.

Partnership filings

Selected partnership fees
ServiceOfficial fee
Statement for registration of a limited liability partnershipUGX 55,000

These are partnership filing charges. If business-name reservation or registration is also required, include the corresponding business-name charge separately.

Company charges and receivers

Company charge-registration fees
ServiceOfficial fee
Company charge required to be registered under the Companies ActUGX 55,000
Memorandum of satisfaction of a chargeUGX 55,000
Appointment of a receiver or manager of company property under the relevant Companies Act provisionUGX 55,000
Inspection of the register of chargesUGX 25,000 per inspection

A mortgage, debenture or other security instrument may involve more than one legal requirement. Company charge registration, stamp duty, land registration and registration of a security interest in movable property are separate questions. The company-charge fee should not be substituted for the SIMPO tariff.

Legal documents, searches and copies

Fees under the Registration of Documents rules
ServiceOfficial registration fee
Application or request to register a documentUGX 40,000, plus applicable stamp duty
Search of the register of documentsUGX 35,000
Inspection of a registered documentUGX 35,000
Certified copy of a registered documentUGX 35,000
Uncertified copy of a registered documentUGX 35,000
Other application to the Registrar of DocumentsUGX 55,000

The 2024 document-registration rules set the registration charge at UGX 40,000. For an instrument carrying UGX 15,000 stamp duty, the two charges total UGX 55,000. The stamp-duty treatment depends on the instrument: an ordinary agreement, affidavit, power of attorney and transfer do not all have the same duty. Registration, notarisation, commissioning and certification are also distinct services.

For the general application to the Registrar of Documents, the gazetted rules specify UGX 55,000. Some summary fee pages display a different figure. Match the assessment to the relevant statutory service and request clarification where necessary.

Insolvency-practitioner services

Selected insolvency fees under the 2024 regulations
ServiceOfficial fee
Registration of an insolvency practitioner or renewal of the certificateUGX 155,000
Annual return by an insolvency practitionerUGX 55,000

Filing a company statement of affairsUGX 35,000
Filing a list of contributoriesUGX 35,000
Filing a report required under the Insolvency Act with the Official ReceiverUGX 55,000

Use the Insolvency (Fees) Regulations, 2024 and the updated schedule on URSB’s insolvency-fees page. Older panels on that page still show UGX 150,000 for practitioner registration and UGX 50,000 for annual returns; those are not the updated rates above. A company restoration application is different from an insolvency or winding-up procedure.

Stamp duty and realistic cost examples

A registration fee pays for the registry service. Stamp duty applies to the instrument or transaction under the stamp-duty rules. Keep both visible in your budget so that neither is omitted or counted twice.

What the subtotals cover: only the components named in each row. Add separately assessed forms or notices, resolutions, certification, publication, postal services, professional work and relevant licences where required. The company examples assume no exemption and separately chargeable Memorandum and Articles; use the instruments and assessment generated for the actual transaction.

For share transfers, the duty calculation uses the chargeable value, not the bare number of shares. For example, 1% of “1,000 shares” cannot be treated as a UGX 10 filing fee. The URSB registration charge for the transfer document is UGX 35,000; stamp duty is assessed separately.

Trademarks, intellectual property and related registries

URSB also administers intellectual-property and secured-transactions services. Start with the official service link on URSB’s website where a specialist registry is required. Company incorporation does not automatically protect a logo, register a patent or perfect every form of security.

Trademark and logo registration

The standard process involves a search, application, examination, publication and registration if the requirements are met. URSB’s trademark guidance specifies a 60-day advertisement period for opposition. The overall process therefore takes longer than the publication period alone.

Selected trademark fees for the standard stages
StageNational applicantForeign applicant
SearchUGX 25,000USD 65
ApplicationUGX 50,000USD 150
Registration after the required processUGX 100,000USD 250
Three-stage subtotalUGX 175,000USD 465

These figures come from URSB’s intellectual-property fee schedule. Publication is paid separately. The mark, applicant category, classes and any objection, opposition or additional service affect the final assessment. Select the correct class of goods or services and assess both similar wording and similar marks.

Copyright, patents and utility models

These are separate rights with their own procedures and fees. Copyright concerns protected creative expression; patents and utility models concern qualifying inventions. Use the relevant URSB intellectual-property service and its specific schedule. A company-name certificate does not establish ownership of every design, work or invention used by the business.

Movable-property security interests

The Security Interest in Movable Property Registry, commonly called SIMPO, is a distinct registry. Lenders and borrowers should use the correct security-interest filing and search procedures. The official SIMPO fee page is the appropriate starting point for that tariff, while company-charge registration follows the separate Companies Act schedule above.

Prepare for a useful consultation

Share the service required, entity type, proposed or registered name, application stage and any query raised by URSB. Existing entities should have their registration number and relevant filing records available.

Agree the scope and cost

The quotation should identify the documents to be prepared, who signs them, the filings covered and the handover deliverables. Official fees remain identifiable separately from professional charges. Agree any additional specialist drafting or tax work before it begins.

A practical readiness check before submission

Identity and authority

  • Names match identification documents.
  • The presenter has authority to act.
  • Corporate shareholders have supporting records.

Ownership and governance

  • Share totals and nominal values reconcile.
  • Beneficial owners are identified.
  • Appointments and constitutional choices are agreed.

Documents and payment

  • Generated documents have been reviewed.
  • Required signatures and uploads are complete.
  • Each payment matches the correct assessment.

After submission

  • The transaction shows successful submission.
  • Notifications and queries are monitored.
  • Approvals and future filing dates will be retained.

Before completing the transaction, ask one final question: can every important entry be traced to an identification document, agreed ownership record, valid appointment, signed document or official assessment? That check reduces avoidable discrepancies without adding unnecessary paperwork.

For companies required to make an annual return, the general deadline is within 42 days after the annual general meeting. Account for any applicable first-year or formally notified dormancy provisions when setting the calendar. See URSB’s guidance on continuing company obligations. Beneficial-owner notices have their own deadlines and should not wait for the annual return.

Frequently asked questions about URSB e-Registry

These answers cover the most common practical questions about account access, incorporation, payments, ongoing filings and registry documents. Use the linked fee tables for a comparison of related services.

Portal access and choosing a service

What is the official URSB e-Registry website?

Use https://eregistry.ursb.go.ug/. It is the official URSB user portal for business and company registration and connected registry services. Access specialised services from the links provided by URSB where a different registry is required.

Can I register a business name or company online?

Yes. Choose the relevant service through e-Registry, complete the required information and documents, pay the assessment and submit the application for examination. Registration is complete when URSB approves the application and issues the relevant registration output.

Can I apply myself, or must I appoint a consultant?

You can use the portal yourself if you can satisfy the requirements for your application. An authorised representative may assist. Agree ownership, officer appointments, authority and the scope of any paid assistance before someone submits on your behalf.

What do I need to create an e-Registry account?

The public account-registration page asks for an email address and phone number. Follow its current verification, account-creation and security steps. Use details you can access; complete any further identification required by the service you select.

Is a business name the same as a limited company?

No. A business-name registration records the name and proprietor or firm. Incorporating a company establishes a separate corporate entity under company law. Choose the structure that fits ownership, liability, governance and the intended activities.

Can a foreign national own a company incorporated in Uganda?

Foreign ownership is generally possible, subject to requirements and restrictions for the particular activity. A Ugandan-incorporated company with foreign shareholders uses the domestic incorporation route. Registering an existing overseas company’s Uganda presence is a different process. Sector licensing, investment and immigration requirements must be considered separately.

Does every business need UGX 1 million or UGX 5 million in share capital?

The UGX 5 million figure in the fee table is an incorporation-fee threshold, not a universal minimum-capital rule for every business. A business name has no company share capital. Capital requirements for a company may also depend on its activity and any applicable sector rules.

Name reservation and incorporation

How much does name reservation cost?

The statutory fee is UGX 35,000 for company-name reservation and UGX 35,000 for business-name reservation. Subsequent incorporation or business-name registration attracts its own charge.

What happens after my proposed name is approved?

Open the relevant registration or incorporation application linked to the approved name. Enter the required particulars, review the documents, complete signatures and uploads, pay the assessment and submit within the reservation period.

Does a name search guarantee that the name will be accepted?

No. A search assists your initial check; the Registrar decides whether the proposed name meets the applicable requirements. A name may be unsuitable because it is confusingly similar, misleading, restricted or otherwise unacceptable.

How long is a reserved name valid?

Use the expiry date and conditions stated in the reservation approval. Begin incorporation or registration promptly. If the reservation has expired, follow the portal instructions or ask URSB whether a fresh reservation or other action is required.

What information is needed to incorporate a company?

Prepare the approved name, entity type, business activities, constitutional information, registered address, subscribers or members, officers, beneficial owners and official contacts. A company with share capital also requires a reconciled share structure. Identification, authorisations and supporting documents depend on the participants and selected service.

Must I prepare separate Form S18, Form A1, Form 18 and Form 20 files for every new company?

No single legacy checklist should be applied to every current application. Follow the forms and documents generated or requested by the live e-Registry transaction. Separate notices and forms still have uses for particular services and continuing changes; their existence does not mean every incorporation requires every form.

What should I do if the Memorandum and Articles will not upload?

Check whether the selected application uses generated standard documents or requires an uploaded version. Then check file type, size, password protection, completeness and the upload field selected. Use the current URSB forms where appropriate and resolve persistent errors with support using the application reference.

Which file type and size does e-Registry accept?

Follow the limit displayed beside the particular upload field. Requirements can differ by service and document. Use complete, legible files and do not rely on an old universal instruction such as “TIFF only” or “1 MB for everything”.

How long does URSB take to approve an application?

There is no single end-to-end period covering all URSB services. Time depends on the transaction, the completeness of the application, payment confirmation, examination and any publication or additional approval. Acknowledgement of submission is different from registration approval. Use the current service standard and your actual application status.

How can I track a submitted application?

Sign in and open the relevant transaction or application record. Retain the application or tracking number, payment references and notifications. If a query is raised, correct and resubmit through the indicated workflow. Quote the reference when contacting URSB.

Can I register an NGO solely through URSB?

URSB incorporation alone does not complete NGO registration or authorise NGO operations. The relevant NGO Bureau or district process and operating requirements depend on the organisation’s category. For an indigenous NGO, incorporation precedes the Bureau’s registration and permit process.

Fees, stamp duty and payment

How much does it cost to register a business name?

Name reservation is UGX 35,000 and registration is UGX 55,000, giving UGX 90,000 for those two services. A search, certified copy, statutory change or professional assistance is a separate item if required.

How much is incorporation for a company with capital up to UGX 5 million?

The incorporation fee is UGX 105,000. Adding UGX 35,000 for name reservation gives UGX 140,000 before stamp duty, separately assessed filings and other services. Do not present that two-item subtotal as a complete invoice for every company.

What happens when nominal capital exceeds UGX 5 million?

The incorporation fee becomes 1.5% of the total nominal share capital. For UGX 10 million, the incorporation fee is UGX 150,000. Name reservation, stamp duty and any other required charges are additional.

Is capital duty charged only on the amount above UGX 5 million?

No. The ordinary published capital-duty rate is 0.5% of total nominal capital, subject to statutory exemptions. For UGX 10 million nominal capital, the ordinary duty is UGX 50,000. The UGX 5 million threshold belongs to the URSB incorporation-fee rule.

What is the fee for a company limited by guarantee without share capital?

Incorporation costs UGX 105,000 and name reservation costs UGX 35,000. Any stamp duty and separately required filings are additional. There is no nominal share capital on which to calculate capital duty when the company has none.

Is UGX 35,000 a universal fixed stamp duty for incorporation?

No. URA’s current schedule treats instruments separately. It lists UGX 15,000 for Articles of Association and UGX 15,000 for a Memorandum of Association, with the stated exceptions. Apply the appropriate instrument rules and assessment instead of adding an unexplained universal UGX 35,000 charge.

What is a PRN and how should I use it?

A Payment Registration Number identifies a particular payment assessment. Check the service, entity, amount and currency, then pay through an authorised channel using the correct reference. Retain the receipt and confirm that the payment is linked to the intended transaction.

What should I do when I have paid but the portal still shows unpaid?

Check that the receipt uses the same PRN and amount as the application, then refresh or reopen the transaction. If it remains unreconciled, contact URSB with the application reference, PRN, payment date and receipt. Ask for reconciliation before making a duplicate payment.

Are all data updates and corrections free?

The e-Registry service catalogue lists a specific Data Update service as free. That does not waive fees for statutory changes such as a change of business-name particulars, directors, registered office or share capital. A correction to an existing record must be classified correctly; neither a universal free service nor a universal UGX 35,000 rectification fee should be assumed.

Why can an official website show a different fee from another official page?

Some service summaries retain older figures or combine several charges under one label. Match the exact service to the current gazetted fee rule and the transaction assessment. Ask URSB to explain a difference before paying, particularly where the assessment appears to use the wrong service category.

Annual returns, changes and restoration

How much are company annual returns?

The fee is UGX 55,000 for a private company with nominal share capital, UGX 35,000 for a company without nominal share capital and USD 70 for a foreign-company return. Each required return is a separate filing.

How and when do I file annual returns through e-Registry?

Access the correct entity through the authorised account or representation, select the annual-return service, enter the required period and particulars, review the documents, pay and complete submission. The general company deadline is within 42 days after the annual general meeting, subject to applicable provisions such as those for the first year or formally notified dormancy. Retain the filed return or acknowledgement after processing.

Are URSB annual returns the same as URA tax returns?

No. They are different obligations to different authorities. A company annual return updates the corporate registry. URA returns concern the taxpayer’s applicable tax obligations. Completing one does not automatically satisfy the other.

Does a registered business name have an annual filing obligation?

Yes. The 2024 business-name rules require a statement of business continuity at the end of every calendar year to confirm continued use of the registered name. URSB lists it under the UGX 55,000 other-document filing category. Three consecutive years of non-compliance can lead the Registrar to commence removal proceedings.

Can I stop filing just because the company is inactive?

Inactivity is not the same as lawful removal or dissolution. Establish which filings and obligations remain applicable while the company stays on the register. If the business is closing, use the appropriate cessation, dissolution, winding-up or other procedure rather than simply abandoning the record.

What does it cost to file a company resolution?

A resolution required to be filed under the Companies Act attracts UGX 35,000. The resolution may be only one component of a transaction: a capital increase, amendment of articles or officer change may also require its own filing and assessment.

Which resolutions can be relevant to company administration?

Examples include authorised decisions about banking arrangements, appointment of representatives, governance and changes to the company. Whether a resolution must be filed depends on the Act and the transaction. A bank may also request a resolution for its own account-opening process.

How do I change a company’s name?

Reserve the proposed new name and complete the required company approval, filing and notice or publication steps. Follow the instructions for the name-change transaction and obtain the certificate reflecting the approved change. Keep the former and new names connected in your records and update the company’s tax, banking and licensing records as needed.

What does it cost to change directors or the registered office?

The company-fee schedule sets UGX 35,000 for a notice of appointment or change of directors and secretary, and UGX 35,000 for the relevant registered-office notice category. A required supporting resolution or additional filing may be charged separately.

How much does a share transfer cost?

URSB charges UGX 35,000 to register the transfer document. Stamp duty is separate; an ordinary transfer under the general category attracts 1.5% of its chargeable value, subject to special rules and exemptions. There is no additional URSB charge calculated as 1% of the bare number of shares in the cited fee regulation.

What does it cost to increase share capital?

The URSB registration charge is 1.5% of the increase above the capital on the preceding registration. Ordinary capital duty is 0.5% of the increase, subject to exemptions. Include any separately required resolution or notice. An increase from UGX 5 million to UGX 15 million therefore uses UGX 10 million as the increase.

What are beneficial owners and when must changes be reported?

Beneficial owners are the natural persons who ultimately own or control the entity. Keep the required internal register and file the prescribed notice. URSB’s guidance requires notice of creation of the register within 14 days; the company beneficial-owner change notice also specifies filing within 14 days after a change in particulars.

What should I do if my company has been struck off?

First establish the company’s exact status and the basis of removal. The fee for a company-restoration application is UGX 55,000, but paying it does not automatically restore the company. Follow the applicable restoration procedure, address outstanding filings and obtain any necessary decision or court order. Retain evidence that restoration has actually taken effect.

Foreign companies, searches and legal documents

Does foreign-company registration cost only USD 350?

USD 350 is the fee for registration of the certified constitutional instrument. Other required foreign-company documents attract USD 70 under the relevant category, annual returns cost USD 70 and certification costs USD 30 per document. Prepare a complete document list before estimating the total.

How much does an official company search cost?

A company-register search or inspection of one company’s file costs UGX 25,000. A business-name search costs UGX 35,000 and a legal-document register search costs UGX 35,000. Select the correct register and the evidence you require.

Is an online name lookup the same as a formal registry search?

No. A preliminary lookup helps locate a name or entity. A formal search or inspection is a specific registry service and may provide information needed for a transaction. Ask for the right search output and any certified documents required by the receiving party.

What does certification of company documents cost?

The published domestic-company fee is UGX 35,000 for certification of a company document. Certification on the foreign-company register is USD 30 per document. A certified copy is different from a scan, an uncertified download or notarisation by an independent professional.

How much does it cost to register a power of attorney, affidavit or declaration?

The document-registration fee is UGX 40,000. Where the instrument attracts UGX 15,000 stamp duty, the combined amount is UGX 55,000. Any preparation, witnessing, commissioning or notarisation charge is separate. Determine the instrument’s proper duty treatment before paying.

Does every agreement attract UGX 15,000 stamp duty?

No. URA’s current schedule lists ordinary agreements or memoranda of agreement at nil duty. Other instruments, such as transfers, leases or powers of attorney, have their own classifications. Determine the document’s legal substance rather than relying only on the heading typed on it.

Does an affidavit become valid only when URSB registers it?

Validity, proper swearing or commissioning, stamp duty, admissibility and registration are different legal questions. Use the requirements applicable to the document and its intended recipient. Do not assume that paying a URSB registration fee replaces proper execution or every other legal requirement.

How do I close a business name?

Use the notice of cessation or removal service and provide the required particulars. The business-name filing fee is UGX 35,000. Closing a trading name does not itself settle tax, employment, contractual or other liabilities connected with the business.

Trademarks, help and next steps

Does company registration protect my trademark or logo?

No. Company or business-name registration and trademark protection are separate. Apply through the relevant URSB intellectual-property service after checking the mark and appropriate classes of goods or services.

How much are the standard trademark stages?

URSB publishes national-applicant fees of UGX 25,000 for search, UGX 50,000 for application and UGX 100,000 for registration. The three-stage subtotal is UGX 175,000 before publication and any additional work. Foreign-applicant rates and class-specific requirements differ.

Is trademark approval automatic after 60 days?

No. The 60 days relate to the advertisement period for opposition under URSB’s published procedure. Examination, publication, any opposition, the registration payment and the Registrar’s action are also part of the process.

Where is URSB’s head office?

URSB’s head office is at Uganda Business Facilitation Centre, Plot 1 Baskerville Avenue, Kololo, Kampala. Use the official contact information to confirm the office or service point you need before travelling.

How can I contact URSB about an application?
