How to Register Legal Documents in Uganda on URSB e-Registry: Steps, Fees & FAQs
A practical guide for individuals, businesses and organisations in Uganda
Prepare the right document, identify the correct parties, understand the charges and complete your application through the official URSB e-Registry.
How do you register a legal document in Uganda?Sign in to URSB e-Registry, select the legal-document registration service, choose the document category, enter its particulars, upload the executed document and requested supporting records, complete the applicable payments and submit for examination. The statutory document-registration fee is UGX 40,000. Stamp duty depends on the instrument; it is not a universal additional charge of UGX 15,000.
This guide covers agreements, guarantees, powers of attorney, affidavits, statutory declarations, debentures, constitutions, mortgage deeds, chattels instruments, promissory notes, directors’ reports, resolutions, loan facility letters, minutes, spousal consent and trust deeds.
Begin with the transaction you want to complete. A document deposited in the general register, a company resolution filed against a company and a security notice registered over movable property serve different purposes.

Statutory application fee for registration in the general register of documents.
The instrument’s legal character determines whether duty is nil, fixed or based on value.
Find the information and supporting records for the category you need.
Before you start: choose the right registration route
URSB maintains a register of legal documents. Registration creates a retrievable official record, with procedures for searches and copies. It can support record preservation and evidence when the registered document is needed later. The URSB document-registration service sits alongside company registration and other business services.
Registration records an instrument; its validity also depends on the instrument itself. Section 14 of the Registration of Documents Act provides that registration does not remedy a defect or give a document validity it would otherwise lack. Correct execution, capacity, authority and the transaction’s substantive requirements therefore matter before filing.
| Your purpose | Route to check | What the filing achieves |
|---|---|---|
| Register an agreement, affidavit, power of attorney or other legal instrument | Legal-document registration through e-Registry | Places the instrument in the general register of documents. |
| File a company resolution or another statutory company document | The relevant company filing in e-Registry | Updates or records a matter against the company under the applicable company procedure. |
| Register a security interest in movable assets | SIMPO and any other applicable security filing | Records the relevant security notice; the security agreement and required company filings must also be considered. |
| Register a mortgage affecting land | The applicable land-registration procedure | Deals with the mortgage against the land record. General URSB document registration does not replace it. |
| Establish a company, NGO or other organisation | The appropriate incorporation and operating-registration route | Creates or registers the organisation and addresses its separate operating permissions. |
For a new business, use the guide to registering a company in Uganda before treating an agreement or constitution as evidence of incorporation. For a non-profit organisation, the NGO registration guide explains the connected stages. A registered constitution alone does not complete either process.
When a financing transaction uses equipment, stock, receivables or other movable collateral, check the Security Interest in Movable Property Registry services. Where land is involved, use the land-registry requirements and the Mortgage Act alongside the instrument being signed.
What to prepare before you sign in
Build one document file before opening the application. The selected category determines the records requested; the following preparation makes it easier to complete the fields consistently.
The executed instrument
Keep the complete signed document, its schedules and any properly completed witness, oath or attestation pages. Check page order and ensure no material page is missing.
The parties and their roles
Record each person’s full name and identity particulars, or the entity’s registered name and registration number. Distinguish the person giving authority, the person receiving it and any person signing for a company.
Supporting evidence
Prepare the requested identification, company certificates and evidence of authority. If the document refers to another instrument, property schedule or corporate approval, keep that record available.
The transaction details
Record the subject, execution date and relevant amounts, property particulars or meeting dates. Keep the signed document and the information sheet side by side during data entry.
Use clear filenames such as “Signed-Power-of-Attorney.pdf” and “Company-Certificate.pdf”. Follow the file type and size shown in the live upload field. Readability matters: a smaller file is useful only if names, signatures, stamps and page details remain legible.
For company records, establish who is authorised to approve and sign the transaction. A certificate identifies the entity but does not, by itself, demonstrate that a particular person has authority to bind it. The underlying resolution, mandate or governing instrument may be needed.
How to register a legal document in ten practical steps
The practical sequence below applies across the document types covered here. Start at eregistry.ursb.go.ug and use the service and field labels displayed for your transaction. URSB’s published information guide identifies the document categories and core particulars; the live e-Registry determines the current screen sequence.
- 1Identify
Choose the instrument and filing route.
- 2Prepare
Reconcile the document and supporting records.
- 3Submit
Review, pay and complete the application.
- 4Preserve
Check the outcome and retain the registration record.
Identify the instrument and the purpose of registration
Decide what the document does before selecting a category.
Read the operative clauses, not only the heading. A document called an agreement may actually grant a lease, create security, transfer property or appoint a representative. Those features affect the registration route and stamp-duty classification.
Write one sentence describing the intended result: for example, “record an executed power of attorney” or “file a company resolution approving a bank mandate”. If a lender or another receiving institution requested registration, confirm the precise record it expects.
Practical output: A document category and a clear purpose for the filing.
Check execution, identities and authority
Prepare a complete instrument before uploading it.
Confirm that the correct parties have signed and that their names match the supporting identification or entity records. Check the execution date, witness particulars and every schedule referred to in the text. An affidavit or statutory declaration must first be sworn or declared before a person legally authorised to administer it.
Where someone signs for an entity, retain the authority for that signature. Resolve inconsistencies in the document through the proper signing or correction process; do not digitally alter an executed instrument to make it match an application.
Practical output: A final executed document with consistent supporting particulars.
Access your e-Registry account
Use the official portal and an account you are authorised to operate.
Open URSB e-Registry and sign in. If you are a new user, complete the registration and verification process requested by the portal. Use accurate contact details so you can receive account and application messages.
URSB’s published document-filing instructions begin from an individual account. When filing for another person or an organisation, ensure you have authority to act. Keep control of passwords and one-time verification codes; an adviser can coordinate the work through agreed access arrangements.
Practical output: An accessible account and a documented basis for acting for the applicant.
Select the legal-document registration service
Choose the service and category that match the instrument.
Locate legal-document registration in the available services and select the relevant category. The public e-Registry service catalogue is a useful starting point for identifying the service, while the application contains the transaction-specific requirements.
For a statutory company filing, select the appropriate service against the company instead. If the required category is unavailable or its description does not fit, ask URSB which route to use before paying. Selecting a convenient category can leave the intended filing incomplete.
Practical output: The correct application and document type.
Enter the document’s particulars
Transcribe the facts from the executed instrument consistently.
Enter the subject matter, the relevant execution or declaration date and the particulars of the parties. Depending on the category, the application may also ask for the amount, property description, association name, instrument reference or meeting information.
Use legal roles accurately. A donor grants a power of attorney; a donee receives it. A mortgagor gives security; a mortgagee takes it. A borrower, lender, guarantor and beneficiary may be different persons. Do not assign roles simply to fill a field.
Practical output: An application that describes the same transaction as the signed document.
Upload the instrument and requested evidence
Attach each complete record to the matching field.
Upload the signed document, requested identification for individual parties and company certificates for corporate parties. Include any other records requested for that category or by the examiner. Use scans of the actual signed pages and retain the originals.
Open the uploaded files where a preview is available. Check that the correct version was attached, every page is present and the document can be read at normal viewing size. An upload that technically succeeds may still contain an incomplete or unreadable scan.
Practical output: Readable attachments matched to the application and its parties.
Review the assessment and complete payment
Separate the registration charge from stamp duty and any additional service.
Review the description and amount on the assessment. Use the official payment reference and the payment methods offered for your transaction. A document-registration payment, a stamp-duty payment and a company filing can relate to different obligations.
Keep the payment reference number, receipt and any stamp certificate issued. Where the assessment does not match the instrument or the statutory fee, request clarification from the relevant authority before paying. The fee tables below show the distinctions to check.
Practical output: Payment evidence linked to the correct instrument and service.
Review and submit the application
Complete submission after saving the information and satisfying the payment requirements.
Read the application as a whole. Compare the parties, dates, amount and subject with the executed instrument. Check that every attachment is in the intended field and that the payment has been recognised.
Then complete the final submission action. A saved draft or a payment receipt is not evidence that URSB has received a completed application for examination. Retain the application reference and the submission acknowledgement or status displayed.
Practical output: A submitted application with a reference you can track.
Track the application and answer queries
Respond to the examiner’s actual question with the records needed to resolve it.
Monitor the account and the contact channel used for the application. If a query is raised, identify whether it concerns the legal document, a field, an attachment, a payment or the authority of a party. Correct connected information consistently before resubmitting.
Keep a record of what changed and why. If the signed instrument itself needs amendment, arrange proper execution of the corrected or supplementary document. Avoid creating a second paid application merely because the first is awaiting review.
Practical output: A clear audit trail from the original submission to the resolved query.
Check and preserve the registered record
Confirm the result, then keep the evidence needed for future use.
Once approved, retrieve the registered instrument or registration evidence through the channel specified by URSB. Check the names, reference, date and registered document against your submitted file. Report a discrepancy promptly with the supporting evidence.
Retain the original instrument, registered copy or endorsement, application reference, receipts and any stamp certificate together. Record any further action, such as a company filing, land registration, security notice or delivery to the receiving institution. For a wider business assignment, business facilitation services in Uganda can help organise these connected administrative steps.
Practical output: A complete handover file and a list of any remaining transaction requirements.
Which legal documents can you register? The 16 categories explained
The categories below translate the source article into a preparation guide for the current e-Registry route. Use each checklist with the ten steps above, and follow any additional requirements shown for your actual application.
Document 01
Agreements
Use the category that matches the agreement, such as a joint-venture agreement or another contractual arrangement. Confirm whether the substance creates a lease, security or a transfer requiring a different assessment or additional registration.
Prepare: Prepare the subject matter, execution date and each party’s details. Upload the executed agreement and the requested identification or company certificates. Include incorporated schedules so the filed record captures the complete bargain.
Check before filing: Check that commercial terms have been agreed before signing. Negotiation skills training can help managers clarify responsibilities, payment terms and dispute-handling arrangements before a contract is finalised.
Document 02
Guarantees and indemnities
A guarantee and an indemnity can allocate risk differently. Identify the actual obligation and the instrument’s wording instead of treating the labels as interchangeable.
Prepare: Prepare the subject, execution date, guarantor or indemnifier, beneficiary and the person whose obligation is supported. Attach the executed instrument and the identity or company records requested for those parties.
Check before filing: Reconcile the guarantee with the underlying facility, amount, duration and release provisions. For organisations managing several contractual exposures, risk management support can help maintain a register of obligations and review dates.
Document 03
Powers of attorney
The donor grants authority and the donee, or attorney, receives it. The instrument should describe the authorised acts, its limits and any relevant conditions.
Prepare: Prepare the subject, execution date, donor and donee details, and the type of power requested by the service. Upload the properly executed power and the required party identification or entity records.
Check before filing: Check whether the receiving bank, registry or institution requires particular wording or formalities. Selecting “irrevocable” in a category does not itself make a power legally irrevocable. For a power concerning land, establish the applicable land-law requirements before use.
Document 04
Affidavits
An affidavit records a sworn statement. The deponent, also called the affiant, is the person making it; these terms do not necessarily describe two different people.
Prepare: Prepare the subject, date of swearing and deponent’s particulars. Upload the complete affidavit, including its oath or jurat section and any exhibits forming part of it. Supply identification where requested.
Check before filing: The affidavit must first be sworn before a person legally authorised to administer the oath. Registration does not administer the oath or establish that every statement is true. If the document is intended for a court or another authority, follow that recipient’s filing requirements as well.
Document 05
Statutory declarations
A statutory declaration is a formal declaration made for a defined purpose. Use wording and execution formalities appropriate to that purpose.
Prepare: Prepare the subject, declaration date and declarant’s particulars. Upload the properly completed declaration and requested identification, keeping supporting records available for any query.
Check before filing: If names or dates differ across identity records, describe the discrepancy accurately and establish which institution must amend the underlying record. Registration of a declaration does not automatically change a national ID, passport, company register or land title.
Document 06
Debentures
A debenture may document debt and create security over specified assets. Its registration requirements depend on the issuer, the security and the assets concerned.
Prepare: Prepare the execution date, borrower or issuer, lender or holder, and the relevant entity records. Keep the complete executed debenture, asset schedules and corporate approvals together.
Check before filing: Separate depositing the instrument from registering a company charge or a movable-property security notice. Ask which filings are required for the transaction and track each separately. A document-registration receipt alone does not establish that all security-registration requirements have been completed.
Document 07
Constitutions
A constitution sets out an association’s purpose, membership and governance arrangements. Register the adopted version and ensure it agrees with the organisation’s other governing records.
Prepare: Prepare the association name, main objective, adoption or execution date and member particulars required by the service. Upload the constitution and the requested identification or entity certificates.
Check before filing: State how leaders are appointed, meetings are held and decisions are approved. Corporate governance and board leadership training can support consistent administration. If the objective is incorporation, review the separate steps to register a company limited by guarantee in Uganda.
Document 08
Mortgage deeds
A mortgagor gives the mortgage security and a mortgagee receives it. The mortgagor is commonly the property owner; that person may differ from the borrower.
Prepare: Prepare the subject, execution date, instrument reference where applicable, land particulars, secured amount and party details. Keep the executed deed, relevant identity or company records and required supporting approvals together.
Check before filing: Complete the applicable land-registration procedure. A general URSB document filing does not register the mortgage against a land title. Check the requirements for matrimonial property and consent in the Mortgage Act before execution and registration.
Document 09
Chattels and movable-property instruments
A chattels instrument concerns movable property, such as equipment or other business assets. First establish whether the transaction creates a security interest requiring a SIMPO notice.
Prepare: Prepare the agreement date, relevant parties and a clear description of the assets. Keep the executed instrument, requested identification or company records and the authority for granting security.
Check before filing: Use the SIMPO registration services for the applicable notice procedure. The borrower, asset owner and secured creditor may have different roles. Follow the current movable-security framework rather than assuming an older “chattels” document category completes the transaction.
Document 10
Demand promissory notes
A promissory note records the maker’s promise to pay. A note payable on demand and a note payable on a fixed future date should describe their payment obligations accurately.
Prepare: Prepare the execution date, amount, maker or borrower, payee or creditor, and payment terms. Upload the signed note and the identification or corporate records requested for the parties.
Check before filing: If the application asks for a realisation or payment date, use the date supported by the instrument. Ask URSB how to complete a field that does not fit an on-demand obligation; do not invent a maturity date to satisfy the form.
Document 11
Reports of directors
Identify the company, the reporting period and the directors’ approval of the report. Register the version that was actually approved and executed.
Prepare: Prepare the subject, execution date, entity particulars and authorised signatories. Upload the report, company certificate and requested supporting identity or entity records.
Check before filing: Distinguish registering a report as a document from meeting the company’s annual-return, financial-reporting or other filing obligations. Report writing training can help teams produce clear records with consistent dates, decisions and supporting evidence.
Document 12
Resolutions
A resolution records a decision made through the organisation’s proper decision-making process. Determine whether it belongs in a statutory company filing or the general register of documents.
Prepare: Prepare the entity or decision-making body, subject, meeting or resolution date and authorised signatories. Upload the signed resolution and the records requested by the selected service.
Check before filing: A company resolution has a separate fee category under the company-fee regulations. Use the company route where that filing is required. Organisations managing recurring resolutions and changes can review corporate secretarial and company compliance services for ongoing administrative support.
Document 13
Loan facility letters
A facility letter should clearly identify the borrower, lender and terms of the facility. Check whether acceptance has been completed and whether related security documents are separate instruments.
Prepare: Prepare the subject, execution or acceptance date, facility amount and collateral particulars where relevant. Attach the accepted letter and the identity or company evidence requested for the parties.
Check before filing: Keep the facility, guarantees and security schedules consistent. Financial literacy training can help managers understand repayment obligations and financing costs. Budget for each required filing instead of assuming registration of the facility letter registers every associated security.
Document 14
Minutes of meetings
Minutes should accurately record a meeting that took place, including its date, participants, decisions and approval. Their registration depends on the purpose for which the record is being lodged.
Prepare: Prepare the meeting subject, actual meeting date and participant or signatory details requested by the service. Upload the approved minutes and relevant supporting identification or entity information.
Check before filing: Keep attendance, quorum and approval records consistent with the governing rules. Not every set of internal minutes needs routine URSB registration. Office administration training can strengthen minute preparation, document control and follow-up of decisions.
Document 15
Spousal consent
The consent must relate to the actual property transaction and be given by the appropriate spouse or spouses where the law requires it. A signature on a separate page without a clear transaction reference may not explain what was agreed.
Prepare: Prepare the consent date, property or transaction description, consenting person and other relevant party particulars. Upload the executed consent and the requested identification and supporting records.
Check before filing: Use the correct roles: a seller and buyer belong to a sale, while a mortgagor and mortgagee belong to a mortgage. Check the applicable statutory form, explanation, attestation and consent requirements. General document registration does not replace these formalities.
Document 16
Deeds of trust
Identify the settlor establishing the trust, the trustees and the beneficiaries or charitable purpose, as applicable. The deed should explain the trust property, trustee powers and administration.
Prepare: Prepare the subject, execution date and relevant party details. Upload the executed deed and requested identification or company records, together with schedules needed to understand the trust property.
Check before filing: Do not substitute assignor and assignee for trust roles unless a separate assignment is actually involved. Registering the deed does not, by itself, transfer registered land, incorporate trustees or complete another asset-transfer or regulatory process.
How much does legal-document registration cost in Uganda?
The gazetted document-registration fee rules set the registry charges below. Stamp duty is a separate assessment under the stamp-duty framework. A professional preparation or coordination fee is also separate from government charges.
| Service | Fee in UGX |
|---|---|
| Registration application or request | 40,000 |
| Search of the register of documents | 35,000 |
| Inspection of a registered document | 35,000 |
| Certified copy of a registered document | 35,000 |
| Uncertified copy of a registered document | 35,000 |
| Other application to the Registrar of Documents | 55,000 |
A search, inspection and copy request are different services. Request the service you need and check the assessment, particularly if several documents or services are involved.
Stamp duty: check the instrument, not just its title
The URA schedule for 2026/2027 lists the following rates. Exemptions and instrument-specific conditions can affect the assessment.
| Instrument | Published stamp duty |
|---|---|
| General agreement or memorandum of agreement | Nil |
| Affidavit | UGX 15,000 |
| Power of attorney | UGX 15,000 |
| Statutory declaration | UGX 15,000 |
| Promissory note | UGX 15,000 |
| Deed or trust instrument, subject to applicable exceptions | UGX 15,000 |
| Debenture | Nil |
| Mortgage deed / equitable mortgage / further charge | Nil |
| Bank guarantee, insurance performance bond, indemnity bond or similar debt instrument | UGX 100,000 |
| Lease | 1% of total value |
A tenancy agreement may fall under the lease category. A guarantee may fall under a specific bond or debt-instrument category. Constitutions, reports, resolutions, minutes and consents require classification by their legal content; do not automatically add the same duty to each.
Why UGX 55,000 is sometimes quoted: a UGX 40,000 registration fee plus UGX 15,000 duty totals UGX 55,000. That arithmetic fits an instrument carrying that duty, but it is not a flat total for every legal document.
Related filings with their own charges
| Service | Published fee | Source |
|---|---|---|
| Company resolution | UGX 35,000 | Company-fee regulations |
| Registration of a company charge | UGX 55,000 | Company-fee regulations |
| SIMPO initial notice | UGX 18,000 | SIMPO fee schedule |
| SIMPO search and search report | UGX 9,000 | SIMPO fee schedule |
| SIMPO certified search report | UGX 10,000 | SIMPO fee schedule |
These are separate service categories, not amounts to add automatically to every document application. For a financing transaction, identify the required registrations before calculating the total.
Build a realistic filing budget
Use a budget with separate lines for registration, stamp duty, required additional filings and professional or third-party work. The following illustrations use one document-registration application and the stated stamp-duty classification.
| Example | Calculation | Illustrative statutory subtotal |
|---|---|---|
| One ordinary agreement assessed under the nil-duty agreement category | UGX 40,000 registration + nil stamp duty | UGX 40,000 |
| One power of attorney carrying UGX 15,000 duty | UGX 40,000 registration + UGX 15,000 duty | UGX 55,000 |
| One indemnity bond assessed in the UGX 100,000 category | UGX 40,000 registration + UGX 100,000 duty | UGX 140,000 |
| Two separately registered documents, each assessed at UGX 15,000 duty | 2 × (UGX 40,000 + UGX 15,000) | UGX 110,000 |
These worked examples exclude a later search or copy request, bank or mobile-money charges, drafting, commissioning, notarisation, translation and any separate company, security or land filing. Include only the items your transaction actually requires.
For a paid support assignment, obtain a quotation that identifies the document, the number of applications, the work included and the treatment of examiner queries. A clear quotation makes it possible to distinguish the adviser’s work from the government assessment.
Payments, queries and common e-Registry problems
| Problem | What to check | Next step |
|---|---|---|
| Payment has not appeared | Payment reference, amount, service and receipt | Request reconciliation against the correct application before making another payment. |
| Application still shows as a draft | Required fields, attachments, payment status and final submission | Complete the outstanding action and retain the submission acknowledgement. |
| Upload is rejected | File format, size, readability and whether the file is protected | Prepare a compliant, readable file and upload it to the matching field. |
| A party is missing or assigned the wrong role | The executed instrument and identity or company record | Correct the application so that it describes the actual transaction. |
| The examiner requests an amendment | The exact query and every related field or attachment | Address the underlying issue and resubmit through the specified process. |
| You need an additional copy | Document number, parties and purpose for the copy | Request the appropriate copy or certification service. |
| The registered record contains an error | The submitted instrument and the registration evidence | Ask URSB for the appropriate correction process with supporting records. |
A useful support request identifies the application reference, document type, parties, payment reference where relevant, and the specific error. Include a screenshot or relevant page when it helps explain the problem, while keeping passwords and verification codes private.
For technical or payment issues, use helpdesk@ursb.go.ug. General registry enquiries can go to ursb@ursb.go.ug or the contact channels on URSB’s official website. For document preparation and administrative coordination, contact Robert with a short description of the assignment.

Keep the handover complete
Ask for the submitted records, application references, payment evidence, registration outcome and any further actions. The applicant should be able to locate the completed file without relying on one person’s inbox.
For incorporation work connected to the transaction, review URSB e-Registry registration support. For broader decisions about business structure, roles and operating readiness, business mentorship and advisory support can help prepare the management plan.
A practical readiness check before submission
Identity and authority
The full names and legal roles match the instrument. The entity name and number agree with its certificate. Anyone signing or filing for another person has the necessary authority.
Execution and attachments
The instrument is complete and properly executed. Required oath, declaration or attestation formalities are satisfied. The correct schedules, identity records and supporting documents are attached.
Fees and submission
The service category is correct. Registration and stamp duty have been assessed separately. Payments match the application. Final submission is complete and its reference has been retained.
After registration
The returned record has been checked. Originals and digital records are securely stored. Any required company, security, land or receiving-institution action has an identified owner.
Plan for the complete transaction
Allow time for preparation, execution, payment recognition, examination and any query. A portal submission is one stage of the work. URSB publishes service standards in its Client Charter; the actual completion time also depends on the application’s completeness and any required clarification.
Frequently asked questions about URSB legal-document registration
Use these answers with the document-specific preparation notes and the official sources below.
Getting started
Where do I register legal documents online in Uganda?
Start at URSB e-Registry and choose the legal-document registration service. The official service catalogue and your selected application identify the available category and requested information.
Can an individual register a document without incorporating a company?
Yes. The document service covers instruments involving individuals as well as corporate parties. Choose the category and supply the identification, entity records and authority relevant to the parties involved.
Can an authorised representative submit the application?
A person executing or claiming an interest under the document, or an authorised agent, may present it under the Registration of Documents Act. URSB may require evidence of the presenter’s identity, interest or authority.
Does every private contract have to be registered with URSB?
Do not treat the availability of a document-registration service as a universal requirement to register every contract. Determine the requirements of the particular instrument, the governing law and the transaction or receiving institution.
Does registration make a defective agreement valid?
No. Section 14 of the Registration of Documents Act preserves the distinction between registration and validity. Missing authority, defective execution or an unlawful provision is not cured simply by placing the instrument on the register.
Is URSB registration the same as notarisation or commissioning?
No. These are different acts. Where an instrument requires an oath, declaration, attestation or notarisation, complete that formality with an authorised professional. The registration application then follows its own requirements.
Documents and party details
Which supporting identification should I prepare?
Prepare the identity records requested for individual parties and the registration or incorporation evidence requested for corporate parties. Use the live application’s requirements for the person’s nationality and status rather than assuming one identity document fits every applicant.
Can I upload a draft or unsigned document?
For registration of an executed instrument, upload the final properly executed version. A draft circulated for negotiation is not the same record. Check whether all required signatures, witnesses, schedules and attachments are complete.
What is the difference between donor and donee in a power of attorney?
The donor gives the authority. The donee, also called the attorney, receives the authority to act within the instrument’s scope. Record both accurately and check any conditions, restrictions and required execution formalities.
Can I make a power of attorney irrevocable by choosing a portal option?
No. Its legal character depends on the instrument and the applicable law. The application category should accurately describe the executed power; it does not determine whether a purported restriction on revocation is legally effective.
Must an affidavit be sworn before it is registered?
An affidavit must be sworn before a person legally authorised to administer the oath. Upload the completed instrument with its oath or jurat section and required exhibits. Registration is not the act of swearing the affidavit.
Does a statutory declaration automatically correct my name in other records?
No. A registered declaration may form part of the evidence requested by another institution, but each issuing authority controls changes to its own records. Establish the process for the national ID, passport, company record or other document concerned.
Does registering a constitution create a company or NGO?
No. Registering the constitution is distinct from incorporation and any required NGO registration or operating permit. Follow the appropriate NGO registration steps or company-incorporation route for the organisation you intend to establish.
Should a company resolution be filed as a general legal document?
First establish whether it is a statutory company filing. If so, use the appropriate company service against the correct entity. General document registration should not be assumed to satisfy a separate company-filing requirement.
Are meeting minutes and a resolution the same document?
Minutes record the proceedings and decisions of a meeting. A resolution records a particular decision, which may be extracted or documented separately. Use the approved record required by the transaction and the relevant filing service.
Does registering a directors’ report replace annual returns?
No. A report, an annual return and a financial statement can serve different purposes. Identify each obligation that applies to the company and complete the relevant filing rather than treating one registered document as a substitute for all of them.
Can a document signed outside Uganda be registered?
A foreign-executed instrument may require additional proof of execution, authentication, translation or other supporting records. Confirm the requirements for the particular instrument with URSB and the institution that will use it before arranging the filing.
Can I change a signed document while preparing the upload?
Do not alter the substance or signatures of an executed document merely to match the form. Resolve an error through the proper correction, re-execution or supplementary-document process, and make the application describe the resulting authentic record.
Fees, payments and timing
Is UGX 55,000 the cost of every legal-document registration?
No. It is the sum of a UGX 40,000 registration fee and UGX 15,000 stamp duty where that duty applies. Use the fee and stamp-duty tables to distinguish the charges for the particular instrument.
Does nil stamp duty mean the registration is free?
No. A nil-duty classification concerns stamp duty. It does not remove a separately applicable registry fee, professional fee or another required filing charge.
Are searches and certified copies included in the registration fee?
They are separately listed services under the document-fee schedule. Identify whether you need registration evidence already issued with the application, a later search, an inspection or an additional copy, and request the appropriate service.
What if the payment assessment differs from the fee table?
Check the service description, document category, number of items, stamp-duty classification and any additional service. Ask the relevant authority to explain or correct the assessment before paying. Keep the explanation with your transaction records.
Should I pay again if payment is not reflected?
First check the payment reference, receipt, amount and application. Ask for reconciliation through the official support channel before making a duplicate payment. A second payment may not resolve a reference mismatch.
Does payment mean my application has been submitted?
No. Confirm that the final submission action has been completed and retain the acknowledgement or submitted status. Payment evidence alone does not show that the application has entered examination.
How long does registration take?
The timetable depends on a complete application, recognised payment, examination and any query. Consult URSB’s published service standards and monitor your actual application. Preparation, execution and additional transaction filings need their own time allowance.
Security, property and completed records
Does URSB document registration register a mortgage on a land title?
No. The applicable land-registration procedure must be completed for the mortgage against the land record. The deed, consent requirements and any related company or security filings should be considered together.
Are the mortgagor and the borrower always the same person?
No. The mortgagor grants the mortgage security, while the borrower owes the loan. A property owner may provide security for another person’s borrowing. Identify each party from the actual transaction.
Does filing spousal consent at URSB complete the consent requirements?
No. The consent must satisfy the law and formalities applicable to the transaction, including the relevant property description, parties, explanation and execution. Registration does not replace those requirements.
Is a chattels document the same as a SIMPO notice?
No. The executed security instrument and a registry notice perform different functions. Determine the required movable-security notice and any company or other filing, then complete the applicable procedures.
Does registering a debenture satisfy every security requirement?
Not necessarily. A debenture may trigger a company charge filing, a movable-security notice or another asset-specific procedure. The required combination depends on the debtor, the instrument and the assets.
Does registering a trust deed transfer ownership of all trust assets?
No. A deed may establish obligations and arrangements, while particular assets require separate transfer or registration procedures. Check land, shares and other registered assets individually.
Can I search for a registered document or obtain another copy?
Yes. The document register has search, inspection and copy services. Keep the registration number, party names, document type and date so the record can be identified, and select the service needed.
Can a registered document be treated as completely confidential?
The register has statutory search and copy procedures. Consider those access arrangements before filing sensitive material. Submit the records required for the transaction and organise any confidentiality concerns before execution and registration.
What should I keep after approval?
Keep the original executed instrument, registered copy or registration evidence, application reference, receipts, any stamp certificate and relevant correspondence. Record any further filing or delivery still required.
